# Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Codevre, including Codevre Learn and related websites, applications, classroom tools, educational features, and other services we provide (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

## 1. Eligibility and Authority

You may use the Services only if you have the legal capacity to enter into these Terms or are authorized to do so through a parent, guardian, school, district, teacher, or other authorized educational institution, as applicable.

If you use the Services on behalf of a school, district, company, or other organization, you represent that you have authority to bind that organization to these Terms.

## 2. Accounts

You may need an account to use some or all features of the Services.

You agree to provide accurate information, keep it current, and maintain the security of your account credentials. You are responsible for all activities that occur under your account.

You may not share your password or allow unauthorized access to your account.

We may suspend or terminate accounts that are inaccurate, insecure, inactive for extended periods, or used in violation of these Terms.

## 3. Description of Services

Codevre provides coding, learning, classroom, assignment, submission, review, and related educational tools. Features may change over time, and we may add, remove, or modify functionality without notice.

We do not guarantee that every feature will always be available, uninterrupted, secure, or error-free.

## 4. Educational Use

Codevre Learn may be used by teachers, students, schools, districts, and other educational organizations.

Teachers and schools are responsible for:

* determining how they use the Services in their classrooms
* ensuring they have the authority to provide student information to Codevre where required
* configuring classroom settings, participation, and workflows appropriately
* reviewing and handling student work and teacher actions taken through the Services

Students may only use classroom features in accordance with instructions from their teacher, school, parent, or guardian, as applicable.

## 5. Acceptable Use

You agree not to:

* violate any law or regulation
* infringe or misappropriate the rights of others
* access or use the Services beyond your authorized role
* interfere with or disrupt the Services or servers
* attempt to bypass security controls or access another user’s account or data without authorization
* upload malware, harmful code, or content designed to damage or impair the Services
* use the Services to harass, threaten, exploit, or harm others
* submit false, misleading, or fraudulent information
* use the Services to build competing products through scraping, automated extraction, or unauthorized data collection
* use student data or classroom data obtained through the Services for unrelated commercial purposes

We may investigate and take action, including suspension or termination, for violations.

## 6. User Content

“User Content” means content you create, upload, submit, transmit, or otherwise make available through the Services, including code, assignments, project links, submissions, comments, profile information, and feedback.

You retain ownership of your User Content, subject to the rights you grant below.

You grant Codevre a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display User Content as necessary to operate, maintain, improve, and provide the Services.

You represent that you have the necessary rights to submit User Content and that your User Content does not violate these Terms or any applicable law.

## 7. Classroom Content and Educational Records

Teachers may create classes, lessons, assignments, and classroom settings. Students may submit work and related responses. Codevre may process this information to deliver educational functionality.

As between Codevre and the user, teachers and students remain responsible for the content they create or submit. As between Codevre and a school using the Services, the school may have separate rights and responsibilities regarding educational records under applicable law or contract.

## 8. Feedback

If you provide suggestions, feature requests, or other feedback, you grant Codevre the right to use that feedback without restriction or compensation.

## 9. Privacy

Your use of the Services is also governed by our [Privacy Policy](privacy.md), which explains how we collect, use, and disclose information.

## 10. Third-Party Services

The Services may contain links to third-party websites, tools, or integrations. We do not control and are not responsible for third-party services, content, privacy practices, or terms.

Your use of third-party services is governed by their own terms and policies.

## 11. Suspension and Termination

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, if:

* you violate these Terms
* we believe your use presents risk to the Services, users, schools, or others
* we are required to do so by law
* we discontinue the Services or a portion of them

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including sections relating to ownership, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution.

## 12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, accurate, complete, or free from errors, viruses, or harmful components.

We do not guarantee educational outcomes, academic performance, grading results, or compatibility with every school requirement.

## 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEVRE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CODEVRE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CODEVRE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

## 14. Indemnification

You agree to indemnify, defend, and hold harmless Codevre and its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

* your use of the Services
* your User Content
* your violation of these Terms
* your violation of applicable law or the rights of another person or entity

If you use the Services on behalf of an organization, that organization also agrees to this indemnification obligation.

## 15. Changes to the Services or Terms

We may modify these Terms or the Services from time to time. If we make material changes to these Terms, we will post the revised Terms and update the “Last Updated” date. We may also provide additional notice where appropriate.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

## 16. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws rules.

Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires otherwise, and you consent to that venue and jurisdiction.
