These Terms of Service (“Terms”) govern your access to and use of Codevre, including Codevre Learn and related websites, applications, coding tools, artificial intelligence features, classroom tools, educational features, and other services we provide (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility and Authority

Link to “1. Eligibility and Authority”

You may use the Services only if you have the legal capacity to enter into these Terms or are authorized to do so through a parent, guardian, school, district, teacher, or other authorized educational institution, as applicable.

If you use the Services on behalf of a school, district, company, or other organization, you represent that you have authority to bind that organization to these Terms.

Some third-party services available through Codevre, including artificial intelligence providers, may have separate eligibility requirements or age restrictions. You are responsible for complying with those requirements when using those services.

You may need an account to use some or all features of the Services.

You agree to provide accurate information, keep it current, and maintain the security of your account credentials. You are responsible for activities that occur through your account, except to the extent prohibited by applicable law.

You may not share your password or allow unauthorized access to your account.

You are also responsible for protecting API keys, access tokens, credentials, and other secrets that you provide to or use with the Services.

We may suspend or terminate accounts that are inaccurate, insecure, inactive for extended periods, or used in violation of these Terms.

Codevre provides coding, development, artificial intelligence, learning, classroom, assignment, submission, review, and related educational tools.

Features may change over time, and we may add, remove, modify, replace, or discontinue functionality without notice.

We do not guarantee that every feature will always be available, uninterrupted, secure, compatible with every project, or error-free.

Codevre Learn may be used by teachers, students, schools, districts, and other educational organizations.

Teachers and schools are responsible for:

\* determining how they use the Services in their classrooms \* ensuring they have the authority to provide student information to Codevre where required \* determining whether third-party integrations or artificial intelligence features are appropriate for their students \* obtaining any notices, permissions, consents, or authorizations required for their use of the Services \* configuring classroom settings, participation, visibility, and workflows appropriately \* reviewing and handling student work and teacher actions taken through the Services

Students may only use classroom features in accordance with instructions from their teacher, school, parent, or guardian, as applicable.

Third-party artificial intelligence providers may have their own terms, privacy policies, and eligibility requirements. Schools and educators are responsible for determining whether their use of those providers is appropriate and permitted in their educational setting.

You agree not to:

\* violate any law or regulation \* infringe or misappropriate the rights of others \* access or use the Services beyond your authorized role \* interfere with or disrupt the Services or servers \* attempt to bypass security controls or access another user’s account or data without authorization \* obtain, expose, misuse, or attempt to access another user's passwords, API keys, access tokens, credentials, or other secrets \* upload malware, harmful code, or content designed to damage or impair the Services \* intentionally instruct an automated tool or coding agent to damage the Services or access systems, accounts, projects, or data without authorization \* use the Services to harass, threaten, exploit, or harm others \* submit false, misleading, or fraudulent information \* use the Services to build competing products through scraping, automated extraction, or unauthorized data collection \* use student data or classroom data obtained through the Services for unrelated commercial purposes

You are responsible for code, commands, instructions, prompts, files, credentials, and other material that you intentionally provide to or execute through the Services.

We may investigate and take action, including suspension or termination, for violations.

“User Content” means content you create, upload, submit, transmit, generate, or otherwise make available through the Services, including code, files, projects, assignments, project links, submissions, comments, profile information, prompts, AI conversations, and feedback.

You retain ownership of your User Content, subject to the rights you grant below.

You grant Codevre a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display User Content as reasonably necessary to operate, maintain, secure, improve, and provide the Services.

This license does not transfer ownership of your User Content to Codevre.

You represent that you have the necessary rights to submit User Content and that your User Content does not violate these Terms or applicable law.

7. AI and Coding Agent Features

Link to “7. AI and Coding Agent Features”

Codevre may provide artificial intelligence features, including coding assistants or agents that can analyze project context, answer questions, generate or modify code, edit files, suggest changes, use development tools, or perform other actions at your direction.

To provide these features, the agent may receive information from your project, such as:

\* prompts and conversation history \* source code and project files \* filenames and project structure \* selected editor content or surrounding code \* errors, diagnostics, terminal output, or other development context \* tool results and other information needed to complete the requested task

Depending on the feature and permissions available, an AI agent may create, modify, rename, or delete project files, propose or execute commands, install packages, or perform other development actions.

You are responsible for reviewing agent actions and generated content before relying on, publishing, deploying, or executing them.

AI-generated content may be incomplete, inaccurate, insecure, outdated, misleading, or unsuitable for your intended purpose. The agent may misunderstand instructions or make unintended changes.

Codevre does not guarantee that:

\* AI-generated code is correct, secure, lawful, original, or free from vulnerabilities \* an agent will successfully complete a requested task \* agent actions will not introduce errors or unintended project changes \* generated information is factually accurate \* an AI provider will always be available or respond successfully

You should maintain appropriate backups and use version control or other recovery tools for important projects.

AI conversations associated with a project may be saved as part of that project. Their visibility may therefore depend on the project's visibility and sharing settings. You are responsible for reviewing project visibility before including confidential, proprietary, personal, or otherwise sensitive information in AI conversations.

8. Third-Party AI Providers and API Credentials

Link to “8. Third-Party AI Providers and API Credentials”

Codevre may allow you to use artificial intelligence services provided by third parties, including services connected using your own provider account, API key, access token, or other credentials.

When you choose a third-party AI provider, your prompts, relevant project context, conversation history, files, and other information required to perform the requested operation may be transmitted to that provider.

Your use of a third-party provider is also governed by that provider's own terms, privacy policy, pricing, rate limits, data-handling practices, and other policies.

Codevre does not control third-party provider pricing or billing.

If you use your own API key, provider account, credits, or paid plan:

\* you are responsible for all charges assessed by that provider \* you are responsible for monitoring your usage, credits, quotas, billing limits, and budgets \* you are responsible for configuring provider-side spending limits or billing alerts where available \* you are responsible for keeping your API credentials secure and revoking or replacing them if compromised \* you are responsible for ensuring that your provider account is authorized to make the requests you initiate through Codevre

Codevre may provide token counts, usage information, cost estimates, model recommendations, context-management features, caching, summarization, or other functionality intended to help reduce or understand AI usage.

Such information and features are provided for convenience only. They may be approximate, delayed, incomplete, or different from the amounts ultimately measured or billed by the third-party provider.

Codevre does not guarantee a specific token count, request count, usage level, or cost for any AI interaction.

You remain responsible for third-party charges even if an agent uses more tokens, requests, context, tools, retries, or other provider resources than you expected.

9. AI Conversation Storage and Project Visibility

Link to “9. AI Conversation Storage and Project Visibility”

AI conversation history may be stored with or associated with the Codevre project in which the conversation occurs.

Where conversations are stored as project data, they generally follow that project's sharing and visibility rules.

For example, if a project is shared with another person or made publicly accessible, information associated with that project may also become accessible to people permitted to view that project, depending on the applicable feature and sharing settings.

Do not include passwords, API keys, authentication tokens, private credentials, or other secrets in prompts or project content unless a feature specifically requires them and you understand how that information will be handled.

Codevre does not sell AI conversation content.

Additional information about how AI conversations and provider integrations are handled appears in our Privacy Policy.

10. Classroom Content and Educational Records

Link to “10. Classroom Content and Educational Records”

Teachers may create classes, lessons, assignments, classroom settings, and AI-assisted educational content. Students may submit work and related responses. Codevre may process this information to deliver educational functionality.

As between Codevre and the user, teachers and students remain responsible for the content they create or submit.

As between Codevre and a school using the Services, the school may have separate rights and responsibilities regarding educational records under applicable law or contract.

If you provide suggestions, feature requests, bug reports, or other feedback, you grant Codevre the right to use that feedback without restriction or compensation.

This section does not transfer ownership of your project code or other User Content merely because it is discussed in a support request or AI conversation.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, and disclose information, including information processed through AI features.

The Services may contain, depend on, connect to, or enable use of third-party websites, APIs, model providers, software, libraries, services, and integrations.

We do not control and are not responsible for third-party services, their availability, security, content, pricing, billing, data practices, privacy practices, outputs, or terms.

Your use of third-party services is governed by their own terms and policies.

Changes made by a third-party provider, including changes to models, pricing, limits, APIs, features, or availability, may affect Codevre functionality without notice.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, COMPATIBLE WITH EVERY PROJECT, OR FREE FROM ERRORS, VULNERABILITIES, VIRUSES, OR HARMFUL COMPONENTS.

ARTIFICIAL INTELLIGENCE OUTPUTS AND AGENT ACTIONS ARE GENERATED OR PERFORMED AUTOMATICALLY AND MAY BE INCORRECT, INCOMPLETE, INSECURE, OR UNEXPECTED. YOU ARE RESPONSIBLE FOR REVIEWING THEM BEFORE USE.

WE DO NOT GUARANTEE EDUCATIONAL OUTCOMES, ACADEMIC PERFORMANCE, GRADING RESULTS, SOFTWARE QUALITY, AI RESULTS, THIRD-PARTY MODEL AVAILABILITY, OR COMPATIBILITY WITH EVERY SCHOOL OR PROJECT REQUIREMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEVRE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CODE, PROJECTS, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEVRE WILL NOT BE LIABLE FOR:

\* THIRD-PARTY API, MODEL, HOSTING, STORAGE, OR OTHER PROVIDER CHARGES INCURRED THROUGH YOUR ACCOUNT OR CREDENTIALS \* EXCESS TOKEN USAGE, API REQUESTS, AGENT RETRIES, OR OTHER THIRD-PARTY USAGE COSTS \* ERRORS OR SECURITY ISSUES INTRODUCED BY AI-GENERATED CODE \* UNINTENDED FILE OR PROJECT CHANGES MADE BY AUTOMATED FEATURES \* THIRD-PARTY SERVICE OUTAGES, BILLING ERRORS, RATE LIMITS, POLICY CHANGES, OR PROVIDER ACTIONS \* LOSS OR CORRUPTION OF PROJECT DATA WHERE SUCH LIABILITY MAY LAWFULLY BE LIMITED

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CODEVRE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CODEVRE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of these limitations may not apply to you.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Codevre and its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

\* your use of the Services \* your User Content \* your use of third-party providers or credentials \* your instructions to or use of automated agents \* your violation of these Terms \* your violation of applicable law or the rights of another person or entity

If you use the Services on behalf of an organization, that organization also agrees to this indemnification obligation to the extent permitted by applicable law.

17. Suspension and Termination

Link to “17. Suspension and Termination”

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, if:

\* you violate these Terms \* we believe your use presents risk to the Services, users, schools, providers, or others \* we are required to do so by law \* a third-party provider or dependency makes continued operation impractical \* we discontinue the Services or a portion of them

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including sections relating to ownership, provider charges, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution.

18. Changes to the Services or Terms

Link to “18. Changes to the Services or Terms”

We may modify these Terms or the Services from time to time.

If we make material changes to these Terms, we will post the revised Terms and update the “Last Updated” date. We may also provide additional notice where appropriate or required.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws rules.

Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires otherwise, and you consent to that venue and jurisdiction.
